Individual Information Non-Disclosure Agreement
I hereby acknowledge, that the General Directorate of Residency and Foreigners Affairs - Dubai (GDRFA) is a federal government entity in the United Arab Emirates that possesses confidential information and data of UAE citizens and residents in UAE, and the Directorate (GDRFA) aims to protect this information and / or the origins of the information that is under its responsibility.
As an employee / contractor / consultant for “Supplier/Partner/ Outsource/Contractors of GDRFA” and may be able to receive and / or contribute to information that belongs to the Directorate (GDRFA), I certify hereby that I abide by the terms and conditions stipulated in the non-disclosure agreement (“This Agreement”). I also acknowledge and agree to read and understand these terms and conditions listed below and adhere to them before I am an employee / contractor / consultant with “Supplier/Partner/ Outsource of GDRFA”
1. Definitions
1-1 Information owned by the Directorate (GDRFA): Any data or set of information owned by the Directorate (GDRFA) or government of Dubai or the UAE Government. These Data include prohibited, highly confidential and confidential information and private information, including but not limited to, Entry & Residency Permits, Passports and family book, ID information for UAE citizens and residents in the UAE, strategic information, agreements / contracts, special technical knowledge, employee records, major business operations, financial statements, technology and other related documents such as emails, records, reports, manuals, forms, policies, procedures, digital and printed documents, and others.
1-2 Information assets owned by the Directorate (GDRFA): Any assets (such as services, people, operations, technology - hardware / software, facilities and others, that prepare, store, process, transfer, receive / receipt of information that is owned by the Directorate (GDRFA).
1-3 Individual Information Non-Disclosure Agreement: The non-disclosure agreement for information signed by individuals such as the Directorate (GDRFA)’s employees, contractors, suppliers, third-party employees, employees of external entities, and others who must obtain a permit to access information and / or information assets of the Directorate (GDRFA).
1-4 The Signing Party: Any person (persons), Amer Centre's employees, contractors, suppliers, third party employees, employees of external entities, and others) whose work requires access to information and / or information assets that belongs to the Directorate (GDRFA).
1-5 Supplier/Partner/ Outsource/Contractors of GDRFA:the side that signed an obligatory contract with GDRFA Dubai
2. General
2-1 This agreement constitutes all the terms and conditions, which relate to the protection of the information belongs to the Directorate (GDRFA) and nullifies, invalidates or replaces any prior understanding and / or agreement between the Directorate (GDRFA) and the signatory party. There are no explicit, implied, or legal acknowledgments, guarantees, models, conditions, undertakings, or agreements between the parties other than what is specified in this agreement specifically.
2-2 The rights and obligations under this agreement remain in force after the end of the service of the signatory party with “Supplier/Partner/ Outsource/Contractors of GDRFA” and must be in favor of and be binding and enforceable on (1) his / her heirs and personal representatives and (2) The assignees and subordinates to the GDRFA.
2-3 Any Intellectual Property (IP) such as copyrights, trademarks, trade secrets, designs, inventions, patents, and / or software / hardware / applicable technologies that have been prepared or developed for the Directorate (GDRFA), is private property and exclusive to the Directorate (GDRFA) for an indefinite period.
3. Security Audit / Examination
3-1 The Directorate (GDRFA) has the right to audit the signatory party that works on entry and exits system, residency and entry permits, passports and family book, follow up and foreigners affairs, population registry system and the ID card or other related tasks / activities that serve (GDRFA) activities, or to refer any signatory party to any local / federal Directorate (GDRFA) in the United Arab Emirates for audit purposes.
3-2 The Directorate (GDRFA) has the right to approve or reject (without giving reasons) any request from a signatory party to enter / work in the Directorate (GDRFA)'s premises or its systems. The Directorate (GDRFA) also has the right to withdraw any approval, in the event of a violation of this agreement or by request of any other local / federal Directorate (GDRFA) in the United Arab Emirates.
4. Undertaking / Commitment not to Disclose Information
4-1 I undertake, without obtaining the prior written approval of the Directorate (GDRFA), for any reason and at any time during and after the term of this agreement, not to use or disclose any information owned by the Directorate (GDRFA) in any way.
4-2 As I have been entrusted with access to the information owned by the Directorate (GDRFA), I acknowledge and agree that I have been granted the right to access information and / or data assets owned by the Directorate (GDRFA), only for the purposes of authorized use and I also understand the nature of the information owned by the Directorate (GDRFA) and the obligations to maintain its confidentiality.
4-3 I acknowledge that I will not copy or reproduce the information owned by the Directorate (GDRFA) in any way, other than what was used for the purposes of carrying out the Directorate (GDRFA)'s tasks / functions or as permitted by the Directorate (GDRFA).
4-4 I undertake not to disclose the information that is owned by the Directorate (GDRFA) to social media, the press, newspapers or magazines, and any of its representatives; unless I have an expressed approval of the Directorate (GDRFA)'s Director General.
4-5 I acknowledge that all my obligations towards the Directorate (GDRFA) in the context of this agreement remain in force after termination of service or employment / assignment / contract with the Directorate (GDRFA), unless I have official approval from the Director General of the Directorate (GDRFA) otherwise.
4-6 I agree, upon a request from the Directorate (GDRFA) and / or in the event of termination of service or employment / assignment / contract in the Directorate (GDRFA), to return all the information assets belonging to the Directorate (GDRFA), of whatever type (such as hard copies, electronic documents, computers, mobile devices / portable devices, hard disks / memory disks / flashes … etc.) or I shall delete / destroy them when necessary securely according to the Directorate (GDRFA)'s request or approval.
4-7 I acknowledge that all my obligations towards the Directorate (GDRFA) in the context of this agreement do not apply to information that belongs to the Directorate (GDRFA) and which I may be requested to disclose under a court order, regulatory authority, or any applicable law, provided that I shall give the Directorate (GDRFA) urgent / immediate notice of any of such requirements.
4-8 In the event of an actual or potential violation of this agreement, I hereby authorize the Directorate (GDRFA), under this agreement, to investigate, (which may include investigating any personal information) and to take appropriate legal / disciplinary actions.
4-9 I have read this agreement carefully and the Directorate (GDRFA) representatives have answered all my questions, if any. I hereby agree and acknowledge, under this agreement, that it is my responsibility to understand the requirements of the latest information security policies in force by the Directorate (GDRFA).
5. Legal / Disciplinary Procedures
5-1 I acknowledge and agree that the Directorate (GDRFA) has the power to take appropriate disciplinary actions (ranging from a verbal warning, a denial of access to services and systems, termination of service, employment / assignment / contract, etc.) and / or legal proceedings in case I violate this agreement. I also acknowledged that the disciplinary action or applicable punishment depends on several factors such as the seriousness of the violation and the employee’s disciplinary record.
5-2 I acknowledge and agree that the damages may not be an adequate compensation to the Directorate (GDRFA) for any breach of my obligations contained in this Agreement, and therefore I agree, in addition to any and all other measures available, that the Directorate (GDRFA) is entitled to obtain compensation through a temporary or permanent judicial order to enforce the obligations stipulated in this agreement.
5-3 In case of violation of the terms and conditions of this agreement, I acknowledge that there will be legal procedures under the judicial authority which the headquarters of the Directorate (GDRFA) belongs; however, any other judicial authority under any other contracts shall be considered null and void.
5-4 All legal procedures shall be applied in accordance with the laws and regulations of the United Arab Emirates in force at that time.
6. Conflict of Interest
6-1 The signatory party that has access to the information that belongs to the Directorate (GDRFA) cannot use his / her powers to purchase the contract or purchase services, products or equipment from the company owned or affiliated with the signatory party who has access to information owned by the Directorate (GDRFA) or one of the relatives of the signed party who has access to the information owned by the Directorate (GDRFA) without the prior approval of the Directorate (GDRFA)'s Director General. The signatory party who has access to the information owned by the Directorate (GDRFA) will also refrain from accepting any gifts, bribes, goods or services that fall outside the scope of normal business practices; that were obtained for the purposes of influencing on decisions to purchase goods or services from the supplier / provider.
